The User (the individual or entity registering an account on the Platform)

1. Purpose and Scope

AquaBlueprint provides an online aquaculture system design platform that enables Users to model aquaculture systems, access biological and engineering datasets, generate design reports, and utilise optional consultancy services. The Platform is designed as an advisory tool and is not a substitute for professional engineering or regulatory certification. The Platform supports scenario planning and decision-making but does not account for all site-specific, biological, regulatory, or commercial variables.

This Agreement governs:

  • Access and use of the Platform and its tools
  • Licensing of outputs and reports
  • Intellectual property (IP) protection
  • Prevention of scraping, reverse-engineering, copying, or misuse
  • Subscription payment terms
  • Disclaimers and liability boundaries
  • Enforcement and sanctions

2. Account Registration and Eligibility

2.1 Users must create an account to access the Platform and ensure that all information provided is accurate.

2.2 Accounts are provided on a one-seat-per-login basis unless an enterprise agreement states otherwise.

2.3 Users are responsible for all activity that occurs under their login credentials and for keeping their details up to date and for notification of unauthorised access or security concerns.

3. Services Provided

3.1 Users may access functionality in accordance with their tier (free, paid, or enterprise).

3.2 Features may include species libraries, system design models, IMTA models, economic assessment tools, scenario analyses, regulatory templates, educational resources, and reporting tools.

3.3 Consultancy services may be offered separately and are governed by a separate agreement. Use of the Platform alone does not create a consultancy relationship. Any consultancy advice is only provided under a separate written consultancy agreement and scope of work.

4. Licence to Use the Platform

4.1 LoTech grants Users a limited, revocable, non-exclusive, non-transferable licence to use the Platform for their internal business, planning, educational, or research purposes.

4.2 Users must not, directly or indirectly:

  • Reverse engineer, disassemble, or replicate the Platform or its modelling logic
  • Access, scrape, harvest, or extract data outside normal authorised use
  • Build or assist in building a competing system or derivative product
  • Sub-license, resell, or exploit the Platform or its content for commercial gain
  • Attempt to derive the underlying calculations, algorithms, or datasets
  • Use the Platform to benchmark, evaluate, or compare for the purpose of developing or marketing a competing service

The prohibitions in this clause 4.2 are further detailed in clauses 9, 10 and 11.

4.3 Users may use generated reports internally for planning and stakeholder communication, but not as engineering certification or regulatory approval.

4.4 All rights not expressly granted are reserved by LoTech.

5. Intellectual Property

5.1 LoTech owns all intellectual property in the Platform, including the software, data structures, workflows, templates, species tables, modelling logic, documentation, brand assets, trade marks (including "AquaBlueprint"), and design architecture.

5.2 Users retain ownership of their own input data but license LoTech to process that data for generating Platform outputs.

5.3 Nothing in this Agreement transfers IP rights to the User.

5.4 Users recognise that the Platform contains confidential trade secrets, including its calculation engine, formulae, architecture, and datasets, and agree to protect them accordingly.

6. Fees, Payment, and Subscriptions

6.1 Subscription tiers include:

  • Free Tier: single-seat access to basic design model, capped design reports, advertising-supported
  • Advanced Tier: single-seat access to advanced design tools on a monthly or annual subscription
  • Pro Tier: single-seat access, everything in Advanced Tier plus project/production tracking and planning tools
  • Enterprise Tier: multi-seat access, extended features, priority support, and (if offered) API access

6.2 Fees are payable upfront and are non-refundable except as required by law.

6.3 Prices exclude GST unless stated otherwise. LoTech may revise pricing with reasonable notice.

6.4 Features available in each Subscription Tier may change from time to time, and LoTech will use reasonable efforts to provide notice of material changes.

7. Confidentiality

Users must not disclose or misuse LoTech's confidential information, including technical, operational, or commercial information, trade secrets, modelling logic, or datasets.

8. Data and Privacy

8.1 Use of the Platform is governed by LoTech's Privacy Policy, which is in accord with both Federal and State Based Privacy legislation.

8.2 LoTech applies reasonable security measures but cannot guarantee absolute cybersecurity.

9. Prohibited Conduct

Users must not:

  • Harvest or scrape data
  • Introduce malware or conduct penetration attempts
  • Upload defamatory, illegal, or harmful content
  • Misuse reports or claim they constitute engineering certification
  • Act in a manner that harms the Platform, its integrity, or other Users

10. Data Scraping Enforcement

10.1 Prohibition: Users must not scrape, extract, harvest, mine, or bulk-copy Platform data, outputs, workflows, or datasets. Automated tools — including bots, crawlers, spiders, or AI agents — may not be used to access any part of the Platform.

10.2 Monitoring: LoTech may implement behavioural analytics, rate-limiting, and traffic monitoring to detect automated or abusive access patterns.

10.3 Investigations: LoTech may suspend User access while investigating suspicious activity. Users must provide logs, explanations, and technical information if requested.

10.4 Enforcement Actions: Upon confirmation of scraping, LoTech may:

  • Immediately terminate access
  • Block devices, IP addresses, or accounts
  • Issue cease-and-desist notices
  • Seek urgent injunctions
  • Pursue damages and legal costs

10.5 Indemnity: Users indemnify LoTech for all losses arising from scraping, extraction, copying, or related misuse.

10.6 No Circumvention: Users must not evade monitoring, including by rotating IP addresses, masking identities, or using proxy services.

11. Reverse-Engineering & Anti-Circumvention

11.1 Users must not reverse engineer, attempt to derive, or replicate LoTech's calculation engine, modelling logic, data schemas, or architectural structures.

11.2 Any attempt to bypass access controls, authentication systems, seat restrictions, or technical protections constitutes a material breach.

11.3 Users agree not to create derivative products or assist third parties in doing so.

12. IP Infringement Enforcement

12.1 If LoTech identifies unauthorised copying, redistribution, reverse engineering, or derivative use, it may:

  • Issue formal infringement notices
  • Demand destruction or return of infringing materials
  • Suspend or terminate access
  • Seek injunctive relief
  • Pursue damages, including economic loss, reputational harm, and legal fees

12.2 LoTech may also notify hosting providers, app stores, academic institutions, or commercial partners of infringement where appropriate.

13. Notice & Takedown Procedure

13.1 Users receiving an infringement or misuse notice must respond within 5 business days with:

  • A written explanation
  • Confirmation of remedial actions
  • Relevant system logs if requested

13.2 LoTech may immediately restrict access pending satisfactory response.

13.3 Failure to respond constitutes grounds for immediate termination.

14. Sanctions & Enforcement

The application of any sanction remains at LoTech's discretion, and multiple sanctions may apply simultaneously, depending on severity and nature of the breach.

15. Disclaimers

15.1 Output from the Platform is not professional engineering advice. It must be validated by qualified professionals.

15.2 The Platform is provided "as is" without warranties as to accuracy, uptime, or fitness for purpose.

15.3 Users bear responsibility for verifying data and regulatory compliance obligations.

15.4 Biological and environmental conditions in aquaculture systems are inherently variable and uncertain. Platform outputs are not guarantees of biological performance or financial outcomes.

16. Limitation of Liability

16.1 LoTech's total liability is limited to the lesser of (a) re-supply of services, or (b) fees paid in the previous 12 months.

16.2 LoTech is not liable for:

  • Loss of profits, revenue, production, or data
  • Business interruption
  • Regulatory delays
  • Biological variability and environmental conditions
  • Third-party misuse or misinterpretation of outputs

16.3 Users indemnify LoTech for losses arising from breaches of this Agreement.

17. Termination

17.1 LoTech may terminate access immediately for breach, unlawful activity, or security concerns.

17.2 If LoTech is on-sold it will provide 30 days notice prior to the handover of the business to the new owner.

17.3 Users may terminate their account at any time (fees non-refundable) after 45 days written notice to LoTech.

17.4 IP, confidentiality, enforcement, indemnity, and liability clauses survive termination.

18. Dispute Resolution

Parties must attempt good-faith resolution before commencing court action. The following process is required:

  • Notify in writing that there is an issue
  • Enter into good faith negotiations to resolve the issue
  • Only lodge a dispute when all parties have negotiated to resolve and are at an impasse and all offers of resolution are exhausted

19. Governing Law

This Agreement is governed by the laws of New South Wales, Australia.

20. Amendments

If the User does not agree to an updated version, the User may stop using the Platform and terminate the Agreement. Continued use after the effective date of changes constitutes acceptance.

By ticking the agreement checkbox at registration, the User accepts and agrees to all terms of this End User Service Agreement.
